Scientific Games to raise funds with US$1.2 billion notes offering

Scientific Games Corporation has announced that its wholly owned subsidiary, Scientific Games International, Inc is set to offer an additional US$500 million of its 5.000% senior secured notes due 2025, €325 million of senior secured notes due 2026 and €250 million of senior unsecured notes due 2026 in a private offering.

The proceeds from the new notes along with borrowings from its credit agreement will be used to redeem a portion of the company’s outstanding 7.000% senior secured notes due 2022, to pay any accrued interest on them and to cover any related premiums, fees, costs or expenses arising from the new notes offering, Scientific Games said.

The new notes will be guaranteed on a senior basis by Scientific Games and certain subsidiaries, while the 5.000% senior secured notes and secured Euro notes will be secured by liens on the same collateral that secures indebtedness under Scientific Games’ credit agreement.

The company added that the 5.000% senior secured notes will be issued under the same indenture pursuant to which Scientific Games previously issued US$350 million of its 5.000% senior secured notes due 2025.
